Terms of Service

1. Agreement to Terms

By accessing or using NeuroBit LTD's connectivity infrastructure services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and NeuroBit LTD, a company registered in the United Kingdom.

2. Service Description

NeuroBit LTD provides managed connectivity infrastructure services through Vodafone business SIM cards for legitimate business purposes. Our Services include:

  • UK-based network access via Vodafone business infrastructure
  • Managed hosting and infrastructure management
  • Uptime monitoring and usage controls
  • B2B partnership and reseller services

We operate as a "Mere Conduit" provider under the Electronic Commerce (EC Directive) Regulations 2002.

3. Acceptable Use

Our Services are intended exclusively for legitimate business purposes including:

  • Market research and competitive intelligence
  • Data collection and business analytics
  • Technical testing and quality assurance
  • Proxy services for lawful business operations

You agree to comply with our Acceptable Use Policy and ensure that your use of our Services does not violate any applicable laws, regulations, or third-party rights.

4. B2B Partnership Terms

4.1 Reseller Relationships

If you are a reseller partner ("Partner"), you acknowledge that:

  • NeuroBit provides infrastructure services; Partners manage end-user relationships
  • Partners are responsible for compliance with all applicable laws in their jurisdiction
  • Partners must implement appropriate terms and conditions with their end users
  • Partners are responsible for customer support and service management

4.2 Partner Obligations

Partners must:

  • Conduct appropriate due diligence on end users
  • Implement Know Your Customer (KYC) procedures
  • Monitor and ensure compliance with acceptable use policies
  • Promptly report any suspected illegal activity or misuse
  • Maintain adequate business insurance

5. Account Registration and Security

To access our Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access or security breach
  • Accept responsibility for all activities under your account

6. Service Availability and Modifications

6.1 Service Level

While we strive to maintain 99.9% uptime, we do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated in advance where possible.

6.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time. We will provide reasonable notice of material changes affecting Partners.

7. Fees and Payment

Service fees are as agreed in your contract or partnership agreement. You agree to:

  • Pay all fees in accordance with agreed payment terms
  • Provide valid payment information
  • Pay applicable taxes and charges

Late payments may result in service suspension or termination. Fees are non-refundable except as required by law.

8. Data and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy. As a Mere Conduit provider, we do not monitor the content transmitted through our Services except as required by law or to ensure network security.

9. Intellectual Property

All intellectual property rights in our Services, including software, documentation, and trademarks, remain the property of NeuroBit LTD or our licensors. You are granted a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • NeuroBit LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not responsible for the actions of Partners or end users
  • We do not guarantee the availability, reliability, or security of third-party networks

11. Indemnification

You agree to indemnify and hold harmless NeuroBit LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of our Services
  • Your violation of these Terms or applicable laws
  • Your violation of third-party rights
  • Actions of your end users (for Partners)

12. Termination

12.1 By You

You may terminate your account at any time by providing written notice in accordance with your contract terms.

12.2 By Us

We may suspend or terminate your access immediately if:

  • You breach these Terms or our Acceptable Use Policy
  • Your account is used for illegal activities
  • Payment obligations are not met
  • Required by law or regulatory authority

12.3 Effect of Termination

Upon termination, your right to access our Services ceases immediately. Provisions that by their nature should survive termination shall survive, including liability limitations, indemnification, and dispute resolution.

13. Compliance with Laws

You must comply with all applicable UK laws and regulations, including but not limited to:

  • Data Protection Act 2018 and UK GDPR
  • Computer Misuse Act 1990
  • Electronic Communications Act 2000
  • Investigatory Powers Act 2016
  • All telecommunications regulations

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

14.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.3 Informal Resolution

Before initiating legal proceedings, parties agree to attempt good-faith resolution through negotiation for at least 30 days.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and NeuroBit LTD regarding our Services.

15.2 Amendments

We may update these Terms from time to time. Material changes will be notified via email or service announcement. Continued use after changes constitutes acceptance.

15.3 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.5 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
